Terms and Conditions

In accepting this confidentiality agreement the interested party, (“Purchaser”) acknowledges that they have requested receipt of the offering materials (“Materials”) for the properties mentioned within, (“Property”) and that the Materials are intended only for direct distribution to qualified potential purchasers by Marcus & Millichap (“Broker”) on behalf of Owner.

Marcus & Millichap is authorized to represent Owner for the purpose of affecting a sale of the Property, and all negotiations shall be conducted through Marcus & Millichap. It is further understood that Marcus & Millichap may be negotiating on behalf of Owner with other prospective purchasers. Purchaser acknowledges that it is a principal and not an agent on behalf of any other party in conjunction with the purchase of the Property (except Advisors working on behalf of their pension fund clients). Purchaser acknowledges that it is not working with any other broker or agent other than Marcus & Millichap, specifically Paul Vetter or Andrew Mays in connection with the Property. Purchaser agrees to indemnify, defend and hold Owner and Marcus & Millichap harmless against any and all claims, damages, liabilities, costs or expenses arising in any way related to claim(s) by another broker, finder or similar agent for commissions, fees or other compensation for bringing about a sale of the Property to the Purchaser.

Purchaser agrees that neither the Owner nor Broker makes any representation or warranties of accuracy, completeness or otherwise regarding any information provided. Such information was received from third party sources and has not been independently verified by Broker. Financial information contains estimates based on assumptions and may not represent the current or future performance of the Property. Purchaser agrees that Purchaser’s decision to purchase the Property shall be based solely on Purchaser’s independent investigation and evaluation of the Property and all information relating to the Property and not on any information provided by the Owner or Broker. Purchaser agrees that the Owner and Broker shall have no liability with respect to any information provided by the Owner or Broker.

Accordingly, as Purchaser I agree through accepting this confidentiality agreement that the Materials are for my information only and I agree not to further distribute the Materials (or any information contained therein) in any way to any party without the prior written consent of Owner, and further agrees to return the Materials to Broker in the event I do not consummate a purchase of the Property within 180 days.

Purchaser agrees through the accepting of this confidentiality agreement that they will not visit the Property without the expressed prior consent of AM Property Group and further agrees that they have been given notice that under no circumstances shall Purchaser contact the tenants or the management staff of the Property.
